Description

We are Milner Societe General Hereby and confirm we are ready, willing and able to supply the commodity as per specifications and the quantity for the price as herein after set forth. This representation is made with full corporate authority and Responsibility of the above. We Hereby issue this Offer with given terms and conditions, for the following product information:
COMMODITY: (EGYPTIAN MILL SCALE)
ORIGIN: The origin of the (EGYPTIAN MILL SCALE) will be from Egypt.
PACKING: In bulk – in big bags ***0 Kg into containers *0 DC.
DELIVERY: CIF or FOB First shipment within ****0 days after acceptance Letter of Credit to be issued to Milner Societe General
 INSPECTION: Quality, quantity, weight and photo by Société Générale de Surveillance (SGS) or substantially equivalent, internationally approved agency, at Seller’s cost at port of loading.
PRODUCT SELL AND PAYMENT TERMS: The Agreement price, as quoted, is subject to the Irrevocable, Confirmed and Non-Transferable, Indivisible Letter of Credit to be issued for the total quantity and covering hall shipments value.
PRODUCT QUALITY AND SPECIFICATIONS: The representative of SGS or compatible World Class Inspection organization at the port of loading shall confirm the product quality conforms to the following specification:

A.   For Fe Content
In respect of each shipment of Mill Scale which does not meet the FE specifications set forth in Clause 3 (Specifications) the base price referred to in Clause 4 (Price) shall be adjusted in accordance with FE content as determined pursuant to the provisions of Clause No.8 (Quality/Sampling and Analysis) as follows:
The base price shall be increased by USD 1.*0 PDMT as per Clause 4 (Price) for FE content each 1% above *0 PCT, fraction pro rata.
The base price shall be decreased by USD 1.*0 PDMT as per clause 4 (Price) for FE content each 1% below *0 PCT but up to *8%, fraction pro rata.
The Buyer has the right to reject the cargo and lodge claims against the Seller if inspection by SGS at discharging port certifying that FE content is below *8% and/or CaO+SiO2 content more than 3%. And Seller guarantee to return back the amount value money which buyer had paid of the shipment cargo aND Seller will bear all the cost for return back/disposing of the cargo and all cost of discharging port fee and SGS charges occurred at discharging port.
 
B.   PENALTY For Other Elements
For excess Phosphorus (P):    At the rate of 5 (five) US Cents PDMT for each 0.*1 PCT, In excess of 0.*0 PCT, fraction pro rata.
For excess Sulphur (S):    At the rate of 5 (five) US Cents PDMT for each 0.*1PCT, In excess of 0.*0 PCT, fraction pro rata.
For excess Alumina (AL2O3):          At the rate of 5 (five) US Cents PDMT for each 1.*0 PCT, In excess of 2.*0 PCT, fraction pro rata.
 
C.   For Moisture
If free moisture loss at **5 degree centigrade as finally determined pursuant to the provisions of Clause No.8 (Quality/Sampling and Analysis) exceed the guaranteed maximum referred to in Clause 3 (Specifications), the Seller shall pay the Buyer fraction pro-rata deduction from price based on full actual freight attributable to moisture over 5% for Mill Scale.
 
D.  For Size Penalty
USD 0.*0/WMT (per Wet Metric Ton) on natural basis shall be applied to the quantities of Mill Scale above size *0 mm in excess of *0%. 
 
PRODUCT DOCUMENTATION: One set of the following documents consisting of three originals and three non-negotiable copies will be furnished by the Seller:
-Commercial invoice
-Ocean Bill of Lading marked “Freight Prepaid” and clean on board issued to the order of …….. And consigned to
-Certification of Weight and Quality issued by SGS
-Certificate of Origin issued by or endorsed by Chamber of Commerce of the Country or the Countries of Origin.
 
WEIGHT AND QUALITY: The Seller guarantees to his account the shipment of (EGYPTIAN MILL SCALE) shall be provided with an inspection of weight and quality at the time of loading and such certificates shall be provided by SGS or similar authority at Seller’s expense which shall be deemed to be final and binding on both Parties. Seller instructs said authority to carry out the inspections.
 
SPECIAL CONDITIONS:
PROCEDURES:       As agreed between seller and buyer.
LOADING:              All costs at the port of loading for the account of the seller
DISCHARGE:          All costs at the port of discharging for the account of the buyer.
INSURANCE:     Provided by buyer In accordance with ICC rules and the terms and conditions of this Agreement, insurance is for the seller\'s account and his sole responsibility.
 
NB: All vital documents in the form of past performance record will not be sent through mail. They will be sent through swift bank to bank or will only be seen in TTM Meeting in Seller’s Office.
