*4) PAYMENT:

Irrevocable, Non-Transferable, Divisible, Assignable, Confirmed, Unconditional, Operative, paid **0% At Sight upon presentation of agreed documents. Monthly Payments will be by **0% At Sight-RDLC or Revolving Documentary Letter of Credit (RDLC), for the value of Two Months, issued by a top *0 World Bank, to be active, operable, and valid for the full term of the entire contract and with payment **0% at sight, against all required and agreed shipping documents as set forth in final sales contract. The payment of the “DLC” or “RDLC” shall be made to the Seller via the Seller’s indicated Bank, and all payments will be upon the presentation **0% of each and every shipping document at the destination port introducing CIQ, CCIC or SGS to ensure the quality and send it to the seller. The Buyer will receive the Bill of Lading as well as the quantity and quality certificates approved by SGS or equivalent international Inspectors, available at each loaded vessel at port of loading.

*5) PERFORMANCE BOUND:

2% of contract value for each shipment will be posted by seller’s bank and in favor of buyer in the event of non-performance of seller. ORIGIN: Mexico

Will be paid as agreed and via the NCND-MFPA document registered with Buyer’s Mandate and registered with the seller’s bank for full payment with the terms and conditions of sale via final Sales Contract

DELIVERY:

The SELLER will deliver a minimum *0,**0 metric tons 1st month if requested only, will then increase to **0,**0 metric tons per month for completion of **5 year contract or as agreed via signed contract.

CONDITIONS:

The SELLER, will sell the herein named and described product via his Legally

Retained and Appointed Counsel ONLY and on the terms of FOB as the Legal

representative has full powers to sign and distribute contract as herein described to facilitate the buy and sell between Buyer and seller. Upon receipt of the SELLER’S FCO with signatures, the buyer will acknowledge by returning a signed copy of the FCO to the SELLER within **-hoursoft Probe authorization..

a) After returning the signed FCO to the SELLER along with BUYER’S FULL ICPOIrrevocable

Confirmed Purchase Order which must include all terms and

conditions, payment schedules, FULL banking information, and soft probe

authorization along with delivery information and contact information, the

SELLER’S bank officer will in turn contact the BUYER’S bank officer and make all arrangements for the authentication of the DLC or RDLC and make arrangements for the 2% Seller PB-Performance Bond to activate DLC or RDLC for the remainder of the **5 year contract for purchase.

b) Seller will provide full assay, SGS inspections and required documents upon request and for final payment of invoices

c) SGS inspection at Loading Port Side will be at expense and cost of Seller

d) The buyer and seller will follow all Terms and Conditions as outlined herein and in final agreed and executed Sales Contract.
