NOMINATIONS, SHIPMENT & PROCEDURES:


1. Buyer and Seller sign and seal this Contract including banking coordinates and exchange the signed copy by electronic mail and deposited with their banks. The electronic signed copy by both parties is considered legally binding and enforceable.

2. Buyers bank sends a Swift message MT***9 to Sellers bank requesting confirmation regarding the sellers banks readiness to place a revolving 2% P.B. as buyers bank places a non-operative SBLC in favor of seller, revolving monthly for the same quantity and amount x *2 months with possible rollovers and extensions.

3. Sellers bank via Swift message MT***9 confirms to Buyers bank their readiness to place the revolving 2% P.B. upon receipt of the Non- operative SBLC.

4. Upon receipt of Sellers Bank SWIFT response, Buyers bank issues a revolving non operative SBLC by swift to sellers bank and sellers bank activates it with the revolving 2% P.B. to Buyers bank, in favor of the Buyer.

5. Seller Nominates a Vessel and load in Buyers name, prepares all the cargo documentations and the Nominated vessels one way voyage charter agreement to Buyers Port of Destination (POD).

6. Seller furnishes Buyer with copies of the CPA, Q*8 and issues full shipping cargo
documentation from NNPC to Buyer.

 

            THE FOLLOWING DOCUMENTATION SHALL BE PRESENTED BY THE SELLERS BANK TO THE BUYERS BANK. ONE ORIGINAL AND THREE (3) NON NEGOTIABLE COPIES OF THE FOLLOWING:

    A.      CLEAN ON BOARD OCEAN BILL OF LADING. THESE DOCUMENTS MUST BE ISSUED OR ENDORSED TO THE ORDER OF THE BUYERS BANK AND MARKED FREIGHT PAID PRIOR TO BREAKING BULK. THE BILL MUST ALSO EVIDENCE THE SHIPPING DATE, INTENDED DESTINATION, SHIPMENT FROM BONNY TERMINAL NIGERIA AND NAME OF PRODUCT AND MUST BE MANUALLY SIGNED BY THE MASTER OF THE VESSEL.
    B.      CERTIFICATE OF QUANTITY ISSUED BY INDEPENDENT INSPECTORS AT THE PORT OF LOADING IN ORIGINAL AND THREE (3) SIGNED COPIES.
        C.      CERTIFICATE OF QUALITY ISSUED BY THE INDEPENDENT INSPECTORS AT THE PORT OF LOADING IN ORIGINAL AND THREE (3) COPIES.
    D.      CERTIFICATE OF ORIGIN IN ORIGINAL AND THREE (3) COPIES.
    E.       CERTIFICATE OF AUTHENTICITY IN ORIGINAL AND THREE (3) COPIES.
    F.       TANKER ULLAGE REPORT IN ORIGINAL AND THREE (3) COPIES.
    G.      TANKER TIME REPORT IN ORIGINAL AND THREE (3) COPIES.
    H.      CARGO MANIFEST IN ORIGINAL AND THREE (3) COPIES.
    I.        SELLERS COMMERCIAL INVOICE BASED ON OUT-TURNED BARRELS IN ORIGINAL AND THREE (3) COPIES.
    J.        MASTERS RECEIPT OF NON-NEGOTIABLE DOCUMENTS AND SAMPLES.
    K.      (ALL NECESSARY DOCUMENT WILL BE GIVEN TO BUYER FOR PAYMENT INCLUDE REPORT ISSUED BY THE INDEPENDENT INSPECTOR)


7. Loaded vessel captain issues a NOR/ETA to POD and sets sail for POD.


8. Upon arrival at POD and after the vessel has discharged its cargo at Buyers designated
port and Buyer has received the Discharge Report as shall be confirmed by the Captain of the Vessel, including all relevant documents as stated in the SPA presented by the Seller after the time of cargo delivery, Buyers Bank must make payment by Swift Transfer to Sellers Bank Account, payable at its counter for this transaction as well as make payment of all commissions beneficiaries named herein below in this agreement.


9. Payments are made by Swift Wire Transfer directly to the Sellers bank account and to the commission agents bank accounts, as stipulated in this contract agreement, within three (3) international banking days after product delivery and discharge at Buyers nominated port of discharge.
