PROCEDURES:
1. Seller releases the Sales and Purchase Agreement (SPA) via electronic mail to the Buyer, duly signed by the Seller after both, the Seller and the Buyer, have agreed to all the terms and conditions of the transaction.
2. Buyer signs the agreement and forwards a copy via electronic mail to the Seller. The electronic copy of the Sales and Purchase Agreement duly executed by both parties is legally binding and enforceable.
3. Seller's Bank is to notify via SWIFT MT999, upon both Parties signature of the Sales and Purchase Agreement, that the Seller's Bank has in their hands a 2% Performance Bond and it will be immediately forward to Buyer's Bank upon Buyer's Bank notification of Proof of Funds via SWIFT MT799.
4. Buyer's Bank confirms availability of funds via SWIFT MT799 to the Seller's Bank/Seller's Fiduciary Bank.
5. Seller issues 2% non-operative performance bond. Buyer issues his Documentary Letter of Credit, which shall make the performance bond active.
6. Seller immediately nominates Tanker and program Vessel with NNPC for loading. Proof of Product documents to include:
i - Bill of Lading
ii - Certificate of Quantity and Quality from NNPC
iii - Master's receipt for samples
iv - Cargo Manifest
v - Tanker Ullage Report
vi - Tanker Time Sheet
vii - Customs Clearance Certificate
viii- Charter Party Agreement
ix - Q88 of the Chartered Vessel
7. Seller notifies Buyer with copies, within 48 hours after completion of loading the Vessel from the NNPC Bonny Terminal.
8. Buyer confirms the Vessel with Vessel Owners/Managers and opens full communication with Master of the Vessel, as incorporated in the Charter Party, while Vessel and her cargo is enroute to Buyer's nominated discharge location to discharge her cargo.
